本文试就期股制的内涵及其不宜在国有中小企业全面推广的原因做初步探讨。认为当前我国中小企业的任何激励与约束都应建立在健全完善的法人治理结构上，推进现代企业制度的建立。
This paper tries to discuss the connotation of the system and it is not suitable for the full promotion of state-owned small and medium-sized enterprises to do a preliminary discussion. Think that at present, any incentives and restraints for SMEs in our country should be based on sound and perfect corporate governance structure and promote the establishment of modern enterprise system.
