设立独立董事的依据是为了解决委托人同代理人由于信息不对称而产生的机会主义行为,弥补我国公司治理结构的缺陷。但我国现行的公司治理结构还存在着独立董事“不独立”和独立董事难以“懂事”等问题。要完善我国独立董事制度,必须严格规定独立董事任职数量和确保工作时间、明确界定独立董事的职责,杜绝独立门外光给名誉、薪金的关系董事。
The basis for establishing independent directors is to solve the opportunist behavior arising from the information asymmetry between principal and agent, so as to remedy the defects of corporate governance in our country. However, the current corporate governance structure in our country still exists such problems as independent directors, independent directors and independent directors. To improve the system of independent directors in our country, we must strictly stipulate the number of independent directors and ensure the working hours, clearly define the duties of independent directors, and prevent the independent directors from giving out their honorary and salary relationships.
