独立董事制度是一个外来的制度,迁移的目的在于对董事会进行监督和评估,降低管理层的代理成本,进而完善我国上市公司的治理结构。但是,我国目前的独立董事制度的发展不够完备,使上市公司股东权益的保护和监督机制的完善倍受各方的关注。本文主要从健全独立董事的相关制度、构建独立董事与监事会的协调机制、建立独立董事的组织等展开论述,希望对我国建立完善的上市公司治理体制有所助益。
The system of independent directors is an external system. The purpose of the relocation is to supervise and evaluate the board of directors, lower the agency cost of management and further improve the governance structure of listed companies in our country. However, the development of our country’s independent director system is not complete enough, and the protection and supervisory mechanism of the shareholders’ rights and interests of listed companies are greatly concerned by all parties. This article mainly discusses the establishment of a sound corporate governance system for listed companies in China from the aspects of perfecting the system of independent directors, establishing the coordination mechanism between independent directors and the board of supervisors, establishing the independent director organization and so on.
