目前,我国法律体系和执法实践仍未对以销售地域限制和销售客户限制为代表的纵向非价格限制划出一条红线。本文首先旨在结合现代分销系统实践,运用经济学理论分析纵向销售客户限制会限制销售商和消费者正常的套利活动,阻碍商品流通环节效率的自由扩散从而在一定程度上排除、限制竞争;进而阐释这一限制可能造成的反竞争效果,包括便利价格歧视、容易成为固定价格的一种方式;最后提出有必要进行适当的反垄断规制,建议可采用原则禁止+例外豁免制度,但具体哪几种例外情形可以适用,需具体考虑其对市场造成的排除、限制竞争影响,以及对消费者福利和社会公共利益造成的影响等,运用合理原则对其进行豁免,这应当是今后予以关注和研究的方向之一。
