本文从制度规范的视角对比分析了中美在治理企业不当政治行为方面的异同。对比研究发现,尽管在控制企业不当政治行为方面,中美都制定了大量的法律和政策规章且各有特色,但相比较而言,美国的法律法规更加严密和具体,各监管机构的分工也更明确,对企业不当政治行为的治理效果也更好。因此,中国需要在制度的完善方面向美国学习。文章最后在借鉴美国经验的基础上,提出了完善我国企业不当政治行为治理制度的具体政策建议。
This article compares and analyzes the similarities and differences between China and the United States in governing corporate improper political behavior from the perspective of institutional norms. Comparative studies have found that both China and the United States have formulated a large number of laws and policies and regulations and have their own characteristics in controlling the improper corporate political behavior. However, in comparison, the laws and regulations in the United States are more rigorous and specific, and the division of labor among the various regulatory agencies is also significant. More specifically, governance of corporate misconduct is also better. Therefore, China needs to learn from the United States on the improvement of the system. Finally, on the basis of drawing on the experience of the United States, the article puts forward specific policy recommendations for improving the governance system of corporate misconduct in China.
