本文立足于在二板市场开拓后对以调整证券发行和交易为对象的《公司法》、《证券法》中相关法律制度所带来的挑战，从二板市场在国内存在的价值、二板市场的规则等问题入手，通过对《公司法》、《证券法》中存在的供求失衡、风险与利润逆向行走、信息披露严重失真等缺陷的分析与阐述，提出相应的修改主张。

This article is based on the challenges posed by the relevant legal systems in the “Company Law” and “Securities Law” that regulate the issuance and trading of securities after the development of the second board market. From the value of the second board market in China, Market rules and other issues to begin with. Through the analysis and elaboration on the defects of “Company Law” and “Securities Law” existing in the supply and demand imbalance, risk and profit reverse walk, serious disclosure of information disclosure, and so on, put forward the corresponding revision proposition.
