公司作为市场经济最活跃的分子,是社会财富的最大创造者,推动着投资增长和资本积累。公司行为最重要的依据是《公司法》和公司章程。《公司法》是国家意志的产物,公司章程则是公司发起人或股东制定的,具有较大的自治性。从某种程度上讲,公司章程比《公司法》更为重要。公司章程制定不合理、执行监管不力等因素都会影响公司章程价值的发挥,研究如何通过公司章程条款个性化设计使公司章程符合公司特点,可以使公司章程充分发挥其在经营管理中的价值。
As the most active member of the market economy, the company is the largest creator of social wealth and promotes investment growth and capital accumulation. The most important basis for corporate actions is the “Company Law” and the Articles of Association. The “Company Law” is the product of the will of the state. The articles of association of the company are formulated by the sponsors or shareholders of the company and have greater autonomy. To a certain extent, the articles of association are more important than the “company law”. The formulation of the articles of association of the company is not reasonable and the supervision of the company is ineffective, which will affect the exertion of the value of the articles of association. It is studied how to make the articles of association conform to the characteristics of the company through the personalized design of articles of association.
