我国的企业并购是在市场经济不发达的环境下进行的,政府参与企业并购有其必要性,由于我国政府所具有的国有资产所有者和社会经济管理者的双重身份,在以多种形式介入企业并购时往往身份和职能混淆,促成了一些不合理而低效的并购,而阻碍了合理而有效地并购。因此,政府在企业并购中必须科学定位,发挥引导、协调、监督、服务等功能。
China’s M & A is carried out under the condition of underdeveloped market economy. Government participation in M & A is necessary. Due to the double identities of the state-owned assets owners and social economic managers owned by our government, Corporate mergers and acquisitions are often confused identity and function, contributed to some unreasonable and inefficient mergers and acquisitions, and hinder the rational and effective mergers and acquisitions. Therefore, the government must take a scientific position in M & A of enterprises and give play to the functions of guidance, coordination, supervision and service.
