当前,我国政府部门正积极推进产业界实施期权制度。2001年3月财政部选定上市公司“中国联通”和中关村的8家高科技企业作为首批期权制试点企业:4月份,国家财政部、经贸委、劳动和社会保障部、计委等四部委正式宣布:“国有企业绩效评价将与经营者年薪制、股票期权等改革试点相结合,推动企业收入分配制度改革不断深化”,这引起了我国经济界的广泛关注。许多人道听途说,以为期权制在美国新经济改革过程中运作相当成功,完全可以成为我国国企改革尤其是加强国企领导班子建设的一剂“良药”。且不说期权制在我国移植成功的可能性到底有多大,就是在美国学术界对期权制的孰是孰非也未下定论。安然、世通、施乐的丑闻更使人对期权激励的效应产生了怀疑。下面,简单探讨一下我国实施期权激励制度的制约因素,希望那些追赶期权激励“时髦”的人“三思而后行”。

Not to mention how much the possibility of success of the option system in our country is transplanted, that is, whether the academic system of the United States is right or wrong about the option system is not final. Enron, WorldCom, Xerox’s scandal has cast doubt on the effect of option incentives. Next, briefly discuss the implementation of the system of incentive options in our country, I hope those who chase the option incentive “trendy” people “think twice before you go.”
