股东表决权是公司股东享有的最重要的权利,此种权利是否有效行使直接关系到中小股东的合法权益能否得到保护。为了矫正大股东与中小股东的利益失衡,应当要求大股东在行使其表决权时履行诚信义务,同时规定出席股东大会会议的最低法定人数及限制大股东表决权,并通过具体制度架构确保中小股东的合法权益。
Voting rights of shareholders is the most important right enjoyed by the shareholders of the company. Whether such rights are exercised effectively or not is directly related to whether the legitimate rights and interests of minority shareholders can be protected. In order to correct the imbalance of interest between major shareholders and minority shareholders, the major shareholders should be required to fulfill their obligations of honesty and trust while exercising their voting rights. At the same time, the minimum quorum for attending general meetings of shareholders and restrictions on the voting rights of major shareholders should be prescribed and the legal system of minor shareholders should be ensured rights and interests.
