2005年10月27日通过的公司法修正案,增加了一人公司的有关规定,可谓是众望所归,引来理论界与实务界欢呼声一片。在立法上承认一人公司的合法存在,顺应了现实的需要,更有利于鼓励投资、发展与完善公司制度,促进经济的发展。但我们在肯定这一重大突破的同时,也应该看到公司法中有关一人公司的七条规定,特别是对自然人设立一人公司的限制,的确存在着不尽如人意之处。相比各种对一人公司的防范制度,信用制度才是解决问题的根本。
The amendments to the company law passed on October 27, 2005, which added the relevant provisions of one-man companies, are all things that one can expect from the public. This has led to the cheering of theorists and practitioners. To recognize the legal existence of a one-person company in compliance with the actual needs of the legislature is more conducive to encouraging investment, developing and improving the corporate system and promoting economic development. However, while affirming this major breakthrough, we should also see that the seven stipulations of the company law on one-man companies, especially the restrictions on the establishment of a one-man company for natural persons, are indeed unsatisfactory. Compared to a variety of one-man company’s prevention system, credit system is the root of the problem.
