独立学院是由普通本科高校与社会力量合作举办的进行本科层次教育的高等教育机构。教育部第26号令已明确规定独立学院必须建立完善的法人治理制度,建立完善的内部组织机构和权力机制。但是由于独立学院作为公益性组织既不同于公司,也不同于一般事业单位,目前我国独立学院的法人治理结构制度尚无完善的法律规范,本文以类推适用最近似法律原则,参照公司法人治理结构制度的理论和相关法条规定,分析我国目前独立学院法人治理结构中存在的问题,探讨我国独立学院法人治理结构中内部组织机构权力机制的构建与完善。
Independent college is a higher education institution undergraduate education organized by ordinary undergraduate colleges and universities in cooperation with social forces. Decree No. 26 of the Ministry of Education has clearly stipulated that an independent college must establish a sound corporate governance system and establish a sound internal organizational structure and power mechanism. However, as an independent non-profit organization as a nonprofit organization is different from the company, but also different from the general public institutions, our country’s independent corporate legal person management structure system has no perfect legal norms, this article analogy to apply the most similar legal principles, with reference to corporate governance structure System theory and the relevant law provisions, analyzes the existing problems in the corporate governance structure of independent colleges in our country, and discusses the construction and improvement of the power mechanism of the internal organization in the corporate governance structure of independent colleges in our country.
