建立现代企业制度,是发展社会化大生产和社会主义市场经济的必然要求,是建立社会主义市场经济体制的基础,是我国国有企业改革的方向.为了建立现代企业制度,转换经营机制,近几年来,广州珠江实业总公司属下企业积极推进了股份制改革.1991年,首先将海南珠江实业公司作为海南省第一批股份制试点企业改制为海南珠江实业股份有限公司,其股票于1992年底在深圳上市(即“琼珠江”);1992年,又将广州珠江房产公司,作为广州市首批股份制试点企业改制为广州珠江实业开发股份有限公司,其股票于1993年10月在上海上市(即“广州珠江”).这样,“珠江实业”便成为全国首家拥有两家上市股份公司的控股企业.本文主要就股份制企业的领导体制改革问题,谈一些粗浅的认识和初步探索、实践的情况.
