并购是经营者集中的重要表现形式,成功的并购已经成为企业扩大规模、增强实力、提高效率的重要手段。作为重要的资金运作模式,并购也是全球普遍采用的合作模式。外资并购是把双刃剑,在带动我国经济发展的同时,也显现出不可忽视的负面效应,其中最为明显的是对民族产业的冲击。本文指出应引导和规范外资并购的健康发展,防范垄断并购和恶意并购,保持重要行业和关键领域的控制力以确保国家的经济安全。
Mergers and acquisitions (M & A) are important forms of concentration of managers. Successful mergers and acquisitions (M & A) have become important means for enterprises to expand their scale, enhance their capabilities and enhance their efficiency. As an important mode of operation of funds, M & A is also a commonly used mode of cooperation in the world. Merger and acquisition by foreign investors is a double-edged sword that not only drives the economic development of our country, but also shows the negative effects that can not be ignored. The most obvious one is the impact on the national industry. This paper points out that we should guide and standardize the healthy development of foreign M & A, guard against monopoly mergers and acquisitions and malicious mergers and acquisitions, and maintain control over important industries and key areas to ensure the country’s economic security.
