股东出资瑕疵问题一直是公司领域比较多发的问题,它不仅侵害其他股东和公司的利益,还加大了与公司有业务往来的客户的经营风险,侵害了公司债权人的利益。文章从股东出资瑕疵的概念、表现形式及出资瑕疵者的法律责任等方面对出资瑕疵有关的法律问题进行研究,希望能对我国的司法实践有所帮助。
The problem of shareholder’s contribution to capital has always been a problem in the corporate field. It not only infringes the interests of other shareholders and companies, but also increases the operating risks of customers who deal with the company and infringes upon the creditors’ interests. The article studies the legal issues related to investment defects in terms of the concept, form of expression and legal liability of the contributors, and hopes that it will be helpful to the judicial practice of our country.
