在国有大中型企业中建立现代企业制度是近年来国有企业改革的重点,而建立现代企业制度面临的最大问题则是怎样建立和完善公司治理结构。我国国有企业在治理结构方面,存在着股权高度集中、内部人控制严重等转轨经济国家普遍存在的问题,这就决定了治理结构的完善绝不能脱离转轨经济这一大背景,必须从我国的具体情况出发,不能完全照搬照抄国外的经验。转轨经济的演进轨迹带有很大的不确定性,任何人都难以预言。本文从论述完善公司治理结构的意义、阐述现代企业和公司治理结构内涵入手,对我国国有企业公司治理结构中存在的问题进行分析,提出了规范和完善国有企业治理结构的对策。
