公司僵局是公司在存续运行过程中由于股东或董事之间发生分歧或纠纷,且彼此不愿妥协而处于僵持状况,导致公司不能按照法定程序作出决策,从而使公司陷入无法正常运转,甚至瘫痪的事实状态。本文从立法及理论的层面对其表现形态进行类型化,并对公司僵局的形成原因进行由表入里的分析和介绍,从而对破解公司僵局有所裨益。
