中外合作经营企业中外方先行回收投资制度设立之目的在于吸引外国投资者来华投资。由于当前我国相关立法尚不完善,允许外方先行回收投资损及我国国家利益、合作企业利益、中方合作者利益以及合作企业债权人利益。我国应当从允许外方先行回收投资的适用范围、条件、方式、程序以及责任追究机制等方面对外方先行回收投资制度进行修正使之完善,并在适当的时候逐渐废除。
The purpose of setting up an investment system for Chinese-foreign contractual recovery of Chinese and foreign cooperative ventures is to attract foreign investors to invest in China. Due to the imperfect legislation in our country at present, allowing foreign investors to recover their investment in the first place will damage the interests of our country, the interests of the cooperative enterprises, the interests of the Chinese partners and the interests of the cooperative enterprises. China should amend and amend the system of preemptive foreign investment recovery from the aspects such as the applicable scope, conditions, methods, procedures and accountability mechanisms of foreign-funded recovery of investment, and gradually abolish it when appropriate.
