国务院国有资产监督管理委员会在广泛调研的基础上,认真总结了前一阶段国有企业改制工作,提出了《关于规范国有企业改制工作的意见》。国务院办公厅决定予以转发的这个《意见》,对国有企业改制的全过程进行了规范,对批准制度、清产核资、财务审计、资产评估、交易管理、定价管理、转让价款管理、依法保护债权人利益、维护职工合法权益、管理层收购10个主要环节和方面,提出了明确的政策要求。这个《意见》是当前继续深化国有企业改革的一个重要文件,是规范、有序、健康地继续推进国有企业改制工作的重要依据。
On the basis of extensive investigations, the State-owned Assets Supervision and Administration Commission of the State Council carefully summarized the restructuring of state-owned enterprises in the previous period and put forward the “Opinions on Regulating the Reform of State-owned Enterprises.” The “Opinions” decided by the General Office of the State Council to regulate the entire process of reforming state-owned enterprises, including the approval system, capital verification and verification, financial auditing, asset evaluation, transaction management, pricing management, transfer price management, and protection of creditors according to law. Benefits, safeguarding the legitimate rights and interests of employees, management buy-in, and 10 key links and aspects, put forward clear policy requirements. This “opinion” is an important document for continuing to deepen the reform of state-owned enterprises. It is an important basis for regulating, orderly, and healthyly continuing the restructuring of state-owned enterprises.
