本文在分析外资并购国企的动因、方式、以及与我国产业调整关系的基础上,指出我国要加速外资市场准入的产业政策立法,防止我国的一大批关键产业、支柱产业轻易的被外资控制;通过立法将国民待遇原则和最惠国待遇原则确定下来,使外资企业逐步与内资企业待遇相同;尽快建立规范化的资产评估制度,以防止国有资产的流失。
On the basis of analyzing the motivation and mode of foreign capital merger and acquisition of state - owned enterprises and the relationship with our country ’s industrial adjustment, this paper points out that our country should speed up the industrial policy of foreign capital market access and prevent a large number of key industries and pillar industries in our country from being easily controlled by foreign capital. Through legislation, the principle of national treatment and the most-favored nation treatment should be finalized so that foreign-funded enterprises will gradually be treated like domestic-funded enterprises. A standardized asset evaluation system should be established as soon as possible so as to prevent the loss of state-owned assets.
