传统公司治理是以企业股东为核心的治理,它忽视了企业员工在公司经营与决策中的重要作用。通过对企业资本及劳动力所有权的分析可以得出,企业股东和企业员工与企业的关系有着诸多结构上的相似性;企业员工不仅具有一定程度的企业控制权,同时还具有不同于股东的特殊权利。企业员工也可能以企业所有者身份参与企业的治理,员工利益促使其在现代企业中发挥极其重要的治理职能。
The traditional corporate governance is the corporate governance of the shareholders as the core, it ignores the employees in the company’s business and decision-making an important role. Through the analysis of corporate capital and labor ownership, it can be concluded that there are many structural similarities in the relationship between corporate shareholders and corporate employees and enterprises. Corporate employees not only have a certain degree of corporate control, but also have special rights different from those of shareholders . Employee employees may also participate in the corporate governance as the owner of the company, and the interests of the employees motivate them to play an extremely important governing role in the modern enterprise.
