在对公司治理结构的各种定义表明倾向性意见的基础上 ,指出健全委托代理制度和保持权力制衡在公司治理结构中至关重要。为解决委托代理关系中的各种问题 ,股东会、董事会、监事会和经理要分工明确 ,权责清楚 ,形成相互依存、相互制衡的管理体制。保持权力制衡 ,则应通过激励、监督和约束等三个机制来实现。为使公司治理结构实现公平、透明和诚信的目标 ,还需从六个方面进行制度安排。
On the basis of the tendentious suggestions on various definitions of corporate governance structure, it is pointed out that it is very important to perfect the principal-agent system and keep the balance of power in the corporate governance structure. In order to solve various problems in the relationship between principal and agent, the shareholders' meeting, the board of directors, the supervisory board and the managers should have a clear division of labor and a clear responsibility and responsibility and form an interdependent and balanced management system. To maintain the balance of power, it should be through incentives, supervision and restraint of the three mechanisms to achieve. In order to achieve the goal of fairness, transparency and honesty in the corporate governance structure, institutional arrangements need to be made from six aspects.
