2006年8月27日,十届全国人大常委会第二十三次会议表决通过了修改后的合伙企业法,即将于2007年6月1日起施行。新《合伙企业法》的一个重大突破就是参照国际立法,在我国法律中首次引进并确立了“有限合伙”制度。有限合伙制度的出现使得现代社会的市场投资环境得到更充分的利用,给投资者提供了一条便捷的资金退出通道,使社会的公平正义得到更有效的维护。
On August 27, 2006, the Twenty-third Session of the Tenth National People’s Congress voted to pass the amended Partnership Law, which will come into force on June 1, 2007. A major breakthrough of the new Partnership Enterprise Law is the introduction and establishment of the “limited partnership” system for the first time in our country’s law with reference to international legislation. The emergence of the limited partnership system makes the market investment environment in modern society more fully utilized, providing investors with a convenient channel for withdrawing funds so that social fairness and justice can be more effectively maintained.
