对赌协议,是目前私募股权基金投资领域中经常使用的一种工具。自2002年蒙牛与摩根士丹利等三家投资机构签订对赌协议并一举成功之后,对赌协议逐渐被广泛应用。但是,我国对对赌协议的认识有所欠缺,对赌协议的适用仍然存在诸多争议。本文将对对赌协议进行较为全面的介绍,旨在全面认识对赌协议,以期有助于相关立法、司法以及对赌行为的实施。

Since 2002, Mengniu and Morgan Stanley and other three investment institutions signed the agreement on the gamble and success in one fell swoop, the gambling agreement is gradually being widely used. However, our understanding of the agreement on gambling is lacking. There are still many disputes over the application of the agreement on gambling.
