全球金融危机以来,全球范围内掀起新一轮并购浪潮,我国企业海内外并购的规模和数量呈现不断上升趋势。然而企业并购活动成功率较低,多数归咎于对目标企业并购后制度与文化的“软整合”失败。本文首先剖析了企业制度与文化整合的重要性及相互关系,进而对并购主体与目标企业制度与文化进行识别和分类,并在此基础上系统提出并购后目标企业制度与文化整合的模式,以及整合实施的原则和流程,以期为我国企业并购后实施制度与文化整合提供较为完整的管理思路和操作方法。
