本文简要介绍了股份公司、债券、股票的基本概念后,结合我国当前兴起的社会集资、发行股票举办各种股份公司的实际,对社会主义条件下股份经济的性质、功能、作用,以及股份公司的组建、所有制关系、股金的筹集、股本资金的来源、股票性质、股息与红利分配、股东的权利义务、股票的流通等问题从理论上作了粗浅的探讨。最后,建议加强立法研究,尽快制定股分公司法,股票债券法、企业破产整顿法等法律规范,运用经济法律手段,促使股份经济向有利于社会主义方向健康地发展。
After briefly introducing the basic concepts of joint-stock companies, bonds and stocks, this essay analyzes the nature, functions and functions of the stock economy under the conditions of socialism, combining with the current situation of raising funds in the community and issuing shares to hold various joint-stock companies. The establishment of ownership system, the raising of share capital, the source of equity capital, the nature of the stock, the distribution of dividends and dividends, the rights and obligations of shareholders and the circulation of stocks, and so on. Finally, it is suggested to strengthen the study of legislation and make laws and regulations such as shareholding branch law, stock bond law and corporate bankruptcy rectification law as soon as possible, and use economic and legal means to promote the healthy development of the stock economy in favor of socialism.
