上市公司通过对外投资实现自身战略目标。本文通过对上市公司对外投资时不同架构设计的目的、目前对外投资的相关法律及政策环境分析和面临的主要问题、目前国内上市公司主要的对外投资的架构设计的分析,可了解不同架构设计的优缺点和对上市公司的不同影响。上市公司可根据自身实际情况和未来的发展需求选择不同的架构来实现对外投资,从而提升上市公司的市值。本文对上市公司在进行对外投资时如何进行架构设计提出了建议,对上市公司对外投资的实务操作具体参考价值。
Listed companies through foreign investment to achieve their own strategic goals. Based on the analysis of the different laws and regulations of foreign invested companies and the main problems they face, the analysis of the main outward investment structure of listed companies in China, Advantages and disadvantages and different effects on listed companies. Listed companies can choose different structures according to their own actual conditions and future development needs to achieve foreign investment, so as to enhance the market value of listed companies. This article puts forward some suggestions on how to carry out the structure design of listed companies when making overseas investment, and gives concrete reference value to the practical operation of listed companies’ overseas investment.
