近年来,随着经济的不断发展和资本市场的日渐完善,中国越来越多的企业采取并购的方式实现本企业的规模扩展和跨越式发展,各种各样的企业并购层出不穷。在此过程中,投资银行起了至关重要的作用,本文通过对比中西方投行的发展现状、业务构成以及在企业并购过程中的作用分析,发现我国投行的不足之处,并在此基础上提出改进意见与策略,从而推动企业并购的市场化运作,完善和发展我国的投资银行业。
In recent years, with the continuous development of economy and the gradual improvement of capital market, more and more Chinese enterprises adopt the way of merger and acquisition to realize the scale expansion and leapfrog development of their enterprises, and various kinds of enterprise mergers and acquisitions emerge in an endless stream. In this process, the investment bank plays a vital role. By comparing the development status of the investment banks in China and the West, the composition of the business and the role of the investment banks in the M & A process, this paper finds out the shortcomings of the investment banks in China and based on this Put forward suggestions and tactics for improvement so as to promote the market-oriented operation of M & A and improve and develop China’s investment banking industry.
