公司财产是公司赖以生存的物质基础,公司对其财产享有何种权利直接关系到公司的运营和发展。对此,我国新《公司法》确立了法人财产权这一新型的权利,它的内涵是什么,理论界存在较大争议,有经营权说、所有权说、双重所有权说。本文希望通过就此概念不同学说的分析来明晰“法人财产权”的真正含义,即一种“独立的综合性的民事权利”。明确这一概念对于强化公司独立人格、优化公司治理、保护相关当事人利益具有诸多裨益。
Company property is the material basis for the survival of the company. What kind of rights the company enjoys for its property is directly related to the operation and development of the company. In this regard, China’s new “Company Law” established a new type of legal rights of property rights, what is its connotation, the theoretical circles there is a big controversy, the right to operate, say ownership, dual ownership. This article hopes to clarify the true meaning of “legal person property rights” by analyzing the different concepts of the concept, that is, an “independent and comprehensive civil rights.” Clarifying this concept has many benefits for strengthening the company’s independent personality, optimizing corporate governance and protecting the interests of the parties involved.
