新《企业破产法》明确管理人选任以法院为主体后,此项法院职权如何运行?相关规则如何构建?成为司法实务中的重大课题。由于我国的管理人制度系从国外引入,无之前的实践经验可考,有关管理人指定的立法设计也因此流于宽泛,导致司法实践中的凌乱与失范。本文从对新法施行后某市两级法院的现行管理人指定模式及其实践效果的优劣分析入手,提出了限制清算组适用范围,改革其人员构成;完善管理人名册编制,设置管理人资格准入与资质考评;明确本市(县)管理人优先、社会中介机构优先、破产清算事务所优先等选任原则;建立适任基础上的随机或法院择优或利害关系人推荐等个案管理人指定规则等建议。
After the new Bankruptcy Law of the People’s Republic of China has been clearly appointed as the chief body of the bankruptcy law, how does the power of the court work? How to construct the relevant rules? It has become a major issue in judicial practice.
