近期,两起外资收购我国汽车工业企业的行为引人注目。 一起是1995年8月9日,日本五十铃自动车株式会社和伊藤忠商事株式会社联手与北京旅行车股份有限公司签署了以合作经营为名目的收购协议。根据该协议,五十铃和伊藤忠商事联合以协议购买方式,一次性购买北旅公司不流通法人股4002万股,占北旅公司总股本的25％;日方以股东身份派出行政人员全面参与北旅公司的经营和管理;五十铃产品中的中型面包车作为该公司的主导产品。
Recently, the two foreign companies’ acquisition of China’s auto industry enterprises has attracted attention. Together on August 9, 1995, Japan’s Isuzu Auto Co., Ltd. and ITOCHU Corporation joined hands with Beijing Wagons Co., Ltd. to sign an agreement for the acquisition of a joint venture. Pursuant to the agreement, Isuzu and Itochu Corporation jointly purchased 40.20 million non-tradable legal person shares of Beilv Company by way of agreement purchase, which accounted for 25% of the total share capital of Beilv Company. Japan sent the administrative staff to participate in the Beiwei Company as a shareholder. The operation and management of the company; medium-sized vans in Isuzu products are the company’s leading products.
