关于使用《中华人民共和国公司法》若干问题的规定(三)的征求意见稿出来后,学界就掀起了对其讨论的热潮。征求稿主要在结合审判实践,就人民法院审理公司设立、出资等纠纷案件适用法律问题上作出相应规定。本文主要从征求意见稿的四个方面规定来探讨在发起人、出资责任以及股东资格等方面的认识。
On the use of “People’s Republic of China Company Law,” the provisions of some of the (c) of the draft opinions came out, the academic community set off a boom on its discussion. The solicitation draft should mainly make the corresponding provisions on the application of law in connection with the trial practice and the handling of disputes over the establishment of the company and the funding of the people’s court. This article mainly discusses the four aspects of the draft of the draft for discussion on sponsors, contribution obligations and shareholders’ qualifications.
