随着欧盟委员会提出《欧洲共同买卖法(草案)》,欧盟首次参与到合同法核心领域的法典编纂之中。这部新的欧洲买卖法,可谓是过去30年来欧洲合同法领域学术和立法互动之产物。相较于《销售公约》,《欧洲共同买卖法》做出了诸多重大创新:将消费者整合到跨境交易的统一法之中;顾及格式合同在现代合同实务中的重要意义;关注电子合同和供应数据内容所带来的新挑战;扩展诚实信用、协作义务和一些影响市场行为的原则;承认先合同义务;广泛规定了撤回权和合意瑕疵;关注合同解释时尊重合同的原则等。
With the European Commission’s proposal for the “European Common Sale and Purchase Law (Draft)”, the EU has for the first time been involved in codification of the core areas of contract law. This new European sale and purchase law is a product of the interaction between academic and legislative aspects of European contract law over the past 30 years. Compared with the CISG, the European Common Market Law has made a number of major innovations: integrating consumers into the uniform law of cross-border transactions; taking into account the importance of format contracts in modern contractual practices; paying attention to electronic contracts And the new challenges posed by the supply of data content; the expansion of good faith, collaborative obligations and some principles that affect market behavior; the recognition of prior contractual obligations; the broad scope of the right of withdrawal and the desired blemish; and the principle of respect for contracts when interpreting contracts.
