在国有企业中建立董事会,旨在加强资产所有者对经营者的监督和约束,避免经营权的滥用和企业短期化行为。此举有利于政府在更大范围内向企业下放权力,对理顺政企关系、增强国有企业活力有着积极作用。本文拟结合上海电子元件公司等单位建立董事会的试点实践,对改革企业领导体制的过程中存在的主要问题和完善董事会的设想做些探讨,以期对建立国有企业监督机制能有所裨益。
The establishment of a board of directors in state-owned enterprises aims at strengthening the supervision and restriction of the owners of assets by the operators, and avoiding abuse of operating rights and short-term behavior of the company. This move is conducive to the government’s devolution of power to enterprises in a wider range, and has a positive effect on rationalizing the relationship between government and enterprises and enhancing the vitality of state-owned enterprises. This article intends to combine with Shanghai Electronic Components Company and other organizations to establish a pilot practice for the board of directors, to discuss the main problems in the process of reforming the enterprise leadership system and to improve the board’s vision, with a view to benefiting from the establishment of a state-owned enterprise supervision mechanism.
