公司治理结构问题的研究是一个世界性的课题。随着我国国企改革进入攻坚阶段,建立规范有效的公司治理结构成为深化企业改革转换企业机制的重大问题。最近,我们采用发放问卷、实际询访、上网查询等方式对南京22家上市公司治理结构状况进行的调研结果显示:从形式上看被调查公司都建立了较为规范的治理结构,但实质上仍存在着不同程度的问题。一是公司股权结构存在严重缺陷。截止2000年底,南京22家上市公司的国家股占总股本的比重平均为56.21%,法人股所占比重平均为14.23%,可流通股份平均占总股本的29.54%;22家上市公司的第一大股东均为国家或国有法人,
The research on corporate governance structure is a worldwide issue. With the reform of our country's state-owned enterprises entering a crucial stage, establishing a well-regulated and effective corporate governance structure has become a major issue for deepening the reform of the enterprise system.
