在我国市场经济条件下,母子公司各自拥有独立的法律人格,应依法进行活动,但是在我国,母子公司滥用独立法律人格的现象大量存在,因此需引入公司的人格否认制度。子公司人格的反向否认制度是从公司的人格否认制度引申而来的,本文从子公司人格的反向否认制度的适用条件、适用范围以及子公司对母公司债务具体如何承担几个方面对此制度加以探讨。
Under the condition of our country’s market economy, both parent and subsidiary companies have their own independent legal personality and should conduct their activities according to law. However, in our country, the phenomenon of abuse of independent legal personality by both parent and subsidiary companies exists in large numbers. Therefore, the company’s personality denial system needs to be introduced. The reverse denial system of subsidiary’s personality is derived from the denial of company’s personality. This article from several aspects of the applicable conditions and scope of reverse denial of subsidiary personality and how the subsidiary’s debt to the parent company specifically This system to be explored.
