一、关于公司发起人的地位及责任 公司发起人是指在股份有限公司设真过程中负责公司筹办事务,并承担相应的责任的人。 公司发起人实际上即公司的筹建机关。分析公司发起人的法律地位,主要是为了处理在发起人设立公司过程中发生的各种权利义务关系与成立后的公司之间的关系这一问题。发起人作为设立公司的筹建机关,其存在的唯一合法目的就是成立某一股份有限公司。但由于在公司的设立过程中,公司尚未形成,不能以公司的名义享受权利和承担义务,发起人只能以筹建机关(例如××公司筹备组”)的名义或者个人名义从事
