内部职工持股制度是指公司内部职工个人出资认购本公司部分股份,并委托公司职工持股基金会进行集中管理的一种新型的产权组织形式。目前我国中小型国有企业改制主要有三种形式:股份合作制、非上市股份有限公司、内部职工持股。从下表对三种改制形式的比较来看,内部职工持股相对于其他两种形式更切合目前我国中小型国有企业的实际情况。
The internal employee stock ownership system refers to a new form of property rights organization in which the employees inside the company financed and subscribed part of the shares of the Company and entrusted the employee stock rights foundation of the company to carry out centralized management. At present, there are mainly three forms of restructuring of small and medium-sized state-owned enterprises in our country: joint-stock cooperative system, unlisted joint stock limited company and internal employee stock ownership. Judging from the table below, the comparison of the three types of restructuring shows that the shareholding of internal staff is more in line with the actual situation of the small and medium-sized state-owned enterprises in our country compared with the other two forms.
