上海嘉宝实业(集团)股份有限公司:中国证券监督管理委员会对上海嘉宝实业(集团)股份有限公司(以下简称“嘉宝实业”)违反证券法规的行为进行了调查。一、违规事实(一)虚假陈述1、经查,嘉宝实业1998年年报称公司实现利润7463.58万元,其中利用将以前年度利润计入本期、少计管理费用等手法虚增利润2804.38万元,占利润总额的37.57%。2、经查,上海嘉定区绿洲房地产(集团)有限公司由于参加嘉宝实业配股和转配股,致使该公司1998年持有嘉宝实业的股份达5.13%,计17,119,012股。但在1998年年报中,嘉宝实业将绿洲房地产公司超比例持股的行为陈述为4.97%,计1660万股;直至绿洲房地产公司将其持有的股份转让给上海梅林正广和(集团)有限公司后,嘉宝实业才在1999年中报中披露上述事实。3、经查,嘉宝实业分别于1998年2月13日、8月14日和11月12日先后为全资子公司

However, in the 1998 annual report, Garbo Industries stated that Oasis Real Estate Company had a 4.97%, or 16.6 million, shareholding in excess of its shareholding.
