尽管在市场、竞争以及公司合作的框架下讨论转型经济中企业的治理结构相当重要,然而对俄罗斯企业组织结构的研究仍十分欠缺。研究结果表明,分层治理模式在制造业中没有占据主导地位;治理结构不仅会影响企业控制权的组织问题,企业参与价格或非价格竞争的意愿、企业的投资决策、激励政策等,也会影响到企业升级的可能性。文章基于制度理论与价值链理论对企业的合同风险和合同保护进行了评估。
Although it is very important to discuss the governance structure of enterprises in the transition economy under the framework of market, competition and corporate cooperation, the research on the organizational structure of Russian enterprises is still very lacking. The research results show that the hierarchical governance model does not dominate the manufacturing industry; the governance structure will not only affect the organization of corporate control rights, the willingness of companies to participate in price or non-price competition, corporate investment decisions, incentive policies, etc. Affects the possibility of enterprise upgrades. Based on institutional theory and value chain theory, the paper evaluates the company’s contract risk and contract protection.
