一人公司是指股东(既可以是自然人也可以是法人)仅为一人,并且该股东持有公司全部出资或所有股份的有限公司。一人公司的出现打破了传统公司法理和规则所要求的安全制度保障,有其存在的必然性也有其弊端。本文在分析一人公司概念、立法例的基础上对其进行研究,并考察了中国一人公司的现状,最后提出了完善我国一人公司制度的设想。
A one-person company refers to a shareholder (either a natural person or a legal person) who is a single person and who owns a limited company that owns all or part of the shares of the company. The emergence of a one-man company breaks the security system guarantee required by the traditional corporate jurisprudence and rules and has its own inevitability and its drawbacks. Based on the analysis of the concept of one-man company and legislation, this article studies the status quo of one-man company in China and finally proposes the idea of perfecting the one-man company system in our country.
