近年来随着证券市场规模的迅速扩大,国有企业改革的加快,外商直接投资资本市场限制的放开以及QFII的推出,证券市场上通过直接并购来获取股权的交易方式将会不断增加。本文主要分析现阶段外资并购我国上市公司的特点以及潜在的问题,对外资并购上市公司提出相应的政策建议。
In recent years, with the rapid expansion of the securities market, the acceleration of the reform of state-owned enterprises, the liberalization of restrictions on foreign direct investment capital markets and the introduction of QFII, the trading ways of acquiring equity through direct mergers and acquisitions in the securities market will continue to increase. This paper mainly analyzes the characteristics and potential problems of the merger and acquisition of listed companies in our country at the present stage and puts forward the corresponding policy recommendations to the mergers and acquisitions of listed companies by foreign capital.
