法人权力能力是同法人、人格、团体这些概念紧密联系在一起的。本文通过比较不同语境下法人的定义,总结出法人的基本特征;通过对法人权力能力理论的历史考察,梳理了法人权利能力理论的流变;最后文章探讨了法人权力能力理论的发展趋势。期待中的民法典理应在法人的权利能力制度设计中与时俱进。理顺目前民法通则和特别法中的规定,对法人的权利能力的规定应相应放宽限制。
The ability of legal person power is closely linked with the concepts of legal person, personality and group. By comparing the definition of legal person in different contexts, this article summarizes the basic characteristics of legal person; through the historical investigation of legal person’s ability theory of power, it sorts out the change of legal person’s theory of competence; finally, it discusses the development trend of legal person’s ability theory. Expectations of the civil code should be in the legal system of the ability to adapt with the times. To straighten out the current general rules of civil law and the provisions of the special law, the legal rights and powers of the provisions should be relaxed accordingly.
