第一条 为引导和规范利用外资改组国有企业的行为,促进国有经济的战略性改组,加快国有企业建立现代企业制度的步伐,维护社会稳定,根据《中华人民共和国公司法》、《中华人民共和国合同法》和国家有关外商投资及国有资产管理的法律法规规定,制定本规定。 第二条 本规定适用于利用外资将国有企业、含国有股权的公司制企业(金融企业和上市公司除外)改制或设立为公司制外商投资企业的行为(以下简称利用外资改组国有企业)。 第三条 本规定所称利用外资改组国有企业包括
