1993年通过的《公司法》经1999年、2004年,特别是2005年大刀阔斧的修正之后,于2006年1月1日正式实施,对制度设计中的股东契约自由、公司股东分期缴纳出资、公司董事和监事以及高级管理人员的约束与激励、废除转投资限制、公司债权人的保护、弱势股东适度保护、瑕疵公司决议及其司法救济机制、公司治理、公司财务会计制度、特殊类型公司、公司并购重组等内容做出了较为合理的规定。
The “Company Law” passed in 1993 was formally implemented on January 1, 2006 after being drastically amended in 1999, 2004, and especially in 2005. The shareholders’ contract in the system design was free and the shareholders of the company paid in installments. The Company Constraints and Incentives of Directors and Supervisors and Senior Executives, Abolishment of Investment Limits, Protection of Corporate Creditors, Moderate Protection of Weak Shareholders, Defective Company Resolutions and Their Judicial Relief Mechanisms, Corporate Governance, Corporate Financial Accounting System, Special Type Companies, Merger of Companies Restructuring and other content to make a more reasonable provision.
