作为一项制度安排 ,独立董事问事机制已经在我国逐步推行开来 ,但由于我国整体经济仍处于转型后期 ,上市公司治理方面问题重重 ,致使独立董事制度在实践中出现了不少误区。应当采取一些必要的措施 :规范独立董事的产生程序、设计好独立董事的激励约束方案、优化相关制度环境、完善独立董事问事机制等 ,使独立董事制度名至实归。
As a system arrangement, the mechanism of asking directors for independent directors has been gradually implemented in our country. However, due to the fact that the overall economy of our country is still in the latter stage of transformation, there are many problems in the governance of listed companies, resulting in a lot of misunderstandings in the practice of the system of independent directors. Some necessary measures should be taken: to standardize the procedures for the production of independent directors, to design plans for the incentive and restraint of independent directors, to optimize the relevant institutional environment, and to improve the mechanism of asking directors for independent directors so that the names of independent directors will be properly named.
