本文作者从2006年9月10日香港太古集团整体购并厦门绿泉实业有限公司这一案例谈起,讨论了国有企业改制“靓女先嫁”模式中存在的问题。作者认为,应从国有资产价值的客观评估、通过立法规范国有企业改制的“靓女先嫁”模式、设立并购安全港指标等方面着手来解决这些问题。

This case talked about the restructuring of state-owned enterprises, “beauties first married” model problems. The author believes that these problems should be solved objectively from the objective assessment of the value of state-owned assets, through the legislation of regulating the state-owned enterprises to reform the system of “first marriage” and the establishment of safe harbor for M & A.
