2005年《公司法》的修订,对我国公司监事会制度的立法进行了很大的完善,但从目前实际情况来看我国公司监事会所发挥的作用并不尽如人意。如何借鉴国外的经验,进一步建立健全监事制度,是目前我国公司法学界迫切需要解决的问题。本文试图通过大陆法系内部监事会制度的比较,来透视我国公司监事会制度的弊端,以期寻找完善我国公司监事会制度的理想对策。
The amendment to the Company Law in 2005 greatly improved the legislation of the board of supervisors in our country. However, from the current actual situation, the role played by the board of supervisors in our country is not satisfactory. How to use the experience of other countries for reference and establish and improve the system of supervisors is an urgent problem to be solved in the field of corporate law in our country. This article attempts to compare the system of internal supervisory board of civil law system to see the defects of the system of supervisory board in our country in order to find the ideal countermeasure to improve the system of supervisory board in our country.
