自20世纪60年代独立董事制度在美国起源之后,各国纷纷效仿,在上世纪末传入中国并在中国造成一定的影响,本文分析了独立董事制度在中国公司治理中的利弊,并对未来的中国公司治理结构如何选择这个问题上进行了讨论。
