股东委托书征集制度是股份公司股权分散化、流动化的必然产物,它涉及委托代理行为和征集行为。我国现行有关委托书征集的立法主要是委托授权的内容,而征集行为欠明确和详细的规定。在考察我国资本市场现状和今后发展趋势的基础上,借鉴国外相关的立法,完善我国有关委托书征集的规则。
Shareholder’s power of attorney solicitation system is the inevitable product of stock company decentralization, liquidity, which involves the commission of agency behavior and solicitation. The current legislation on the collection of power of attorney in our country is mainly entrusted with the content of the mandate, and the solicitation behavior is not clear and detailed provisions. On the basis of examining the current situation of our country’s capital market and the future development trend, we draw on the relevant foreign legislation and improve the rules on the collection of the power of attorney in our country.
